TERMS & CONDITIONS

VIRTUAL DESIGN PACKAGE TERMS AND CONDITIONS

Our virtual design package is a consultation-only service. All recommendations are suggestions to improve the look of your space and are not intended for construction
purposes. Designer makes no representations and expressly disclaims all responsibilities about the suitability, for any purpose, of the design concept. The design scheme is
provided “as is” without any expressed or implied warranty. Designer disclaims all warranties regarding the design scheme, including all implied warranties of merchantability
and fitness for a particular purpose. To the extent that the 50 states of the United States provide rights, in addition to those above, or do not allow limitation or exclusion of
implied warranties, the above limitations may not apply, thereby making such clause, or any portion thereof, invalid. It shall be limited and shall not affect the validity or
enforceability of the remainder of the clause.
Client agrees to provide full information regarding the requirements for the project, at initial interview. Information includes design preferences, reference images, and
budget.
Estimates of fixed costs prepared by the designer represent the designer’s best judgment as a professional familiar with the industry. The designer does not have control
over manufacturers, laborers, deliveries, or showroom costs and accordingly, the designer cannot and does not warrant or represent that prices will not vary from the
prepared estimates. In no event is either party liable for any consequential, special, punitive, exemplary, or indirect damages (including, but not limited to, any damages to
anticipated profits, loss of revenue, economic loss, cost of procuring substitute goods or services, loss of use of goods, or interruption of business or personal affairs) arising
in any way out of this agreement, under any liability theory in contract, tort, or otherwise. These limitations shall apply, notwithstanding the failure of the essential purposes
of any limited remedy.
Designer’s total liability for any cause of action related to this agreement is exclusively limited to, and does not exceed, the fees received by designer to perform services
under this agreement. The foregoing right to monetary damages is in lieu of all other remedies that client may have against designer.
Client agrees to indemnify, fully defend, and hold the designer harmless, permitted by law, from and against any third-party claims, losses, liabilities, damages, costs, and
expenses relating to or arising from the negligence, failure, acts, or omissions of client or any architect, vendor, supplier, contractor, or agent hired or retained by client.
Client agrees to take full responsibility for verifying that ordered furnishings can be delivered to the project site (e.g., through elevators, doors, and passage
clearances) and for verifying dimensions and quantities prior to placing orders. Client also takes full responsibility for taking accurate measurements to
ensure all items fit inside the space and through elevators, doors, and passage clearances.
Client agrees to correspond strictly through online communication, as per package details, except for agreed-upon phone calls.
Designer is not responsible for quality or construction of purchased or fabricated items; delivery or lead times during fabrication, installation, or safety
precautions connected with the project; or for the acts or omissions—such as failing to meet schedules or completion dates—of the contractor or any
subcontractor, supplier, vendor, store, or other person (including those the designer recommends), as they are independently-owned and operated
separately from Rinella Interiors even while they are working on or providing products for the project. Client is to verify fit of each recommendation and
verify items can be delivered into the room (e.g. through elevators, doors, and passage clearances) and within the space (e.g. pipes, base trim, and window
heights). Client and contractor are responsible for reviewing and verifying dimensions and quantities. Designer has no control over market conditions,
availability of labor, and contractor or fabricator’s method of pricing or construction.
Design Boards and Proposals: Client acknowledges that designer’s design boards and proposed specifications, including the design scheme, may include
written materials or documentation that describe, support, or engender concepts, ideas, instructions, samples, related materials or documentation,
photographs, drawings, schematics, and copies of the foregoing. All of which may be subject to copyright, patent, trademark, or rights of publicity or
attribution (collectively, “proprietary rights”). Designer hereby reserves all right, title, and interest in and to such proprietary rights, whether registered or
registerable and whether patented or patentable. Client agrees not to challenge the validity or enforceability of designer’s proprietary rights. Proposals and
the design concepts are proprietary and exclusive to designer. Client shall not copy, distribute, or make proposals available to any third party without
designer’s express written permission. Under no circumstances shall client alter, remove, efface, or obscure any trademarks, labels, or other proprietary
notices, except with designer’s express written permission. Client shall have the unlimited right to the quiet use and enjoyment of the results and proceeds
of the project’s design concept, and any proprietary rights embodied therein, after the designer completes the project.
Drawings: Designer’s design drawings (hand drawn and computer-aided) are conceptual in nature and are intended to set forth design intent; they are not to
be used for architectural or engineering purposes. Cabinet elevations and drawings with dimensions are to be handed off to client’s contractor or trade

professional. Designer is not responsible for any modifications after hand-off. Project services do not include modifications to structural, heating, air-
conditioning, plumbing, electrical, ventilation, or other mechanical systems.

Photographs: Client agrees to provide photographs, taken of the project during all stages of development, to the designer. Photographs include those taken
after project completion. Client also agrees to allow designer to use the photographs, or any part thereof, in connection with any marketing, promotional, or
advertising campaigns. Designer will use photographs for business purposes and will not disclose client’s name without prior consent.
Marketing: Client hereby grants designer permission to include a description of the project in any marketing, promotional, or advertising campaigns. Designer
shall obtain permission from client prior to using client’s name or street name.
Designer will perform the services in good faith but cannot be responsible for the performance, quality, or timely completion of work by any third parties.
Designer is not responsible for any changes to the project that the client or contractors make, as applicable, without informing designer. Designer is not
responsible for ensuring that any contractor or architect is duly licensed; nor is designer liable for any act or omission of any third-party or manufacturer,
including mistakes, delays, or incomplete orders. Designer is not liable for the design of structural, electrical, plumbing, heating, or other mechanical
systems that exist or might be needed. Designer is not responsible for any act or omission of any third-party, including, but not limited to, schedules or
failure to install the work in accordance with the contract documents. Designer is not liable for any damage to the premises or to client’s property or
personal belongings due to an act or omission of hired laborers, contractors, carpenters, plumbers, electricians, installers, or other tradespeople.
Client is responsible for necessary permits and approvals from building management for proposed designs and construction. Client is also responsible for
providing a place to receive, unpack, and store products prior to installation, and for providing approvals expeditiously.
Rinella Interiors is not responsible for arranging repairs, replacement, or freight claims for purchases made in conjunction with recommendations for project.
By paying designer, you agree to these terms and conditions.
An initial, in-person consultation and site measuring session can be arranged for an extra fee within the Northern Virginia counties of Fairfax, Arlington, and
Loudoun.
TIMING:
Rinella Interiors must receive full payment before beginning virtual design work.
For each project, timing is the client’s responsibility. No full or partial refunds are given for delays by client.
FULL-SERVICE INTERIOR DECORATING TERMS AND CONDITIONS
Designer is not responsible for quality or construction of purchased or fabricated items; nor is designer responsible for delivery or lead times during
fabrication.
Client and contractor are responsible for reviewing and verifying dimensions and quantities. Designer has no control over market conditions, availability of
labor, and contractor or fabricator’s method of pricing or construction.
Client shall provide reasonable access to the premises for designer and designer’s agents to perform the services. Client understands that the peace and
privacy of client’s space may be disrupted during the time required to perform the work.
Client is responsible for necessary permits and approvals from building management for proposed designs and construction. Client is also responsible for
providing a place to receive, unpack, and store products prior to installation. Finally, client is responsible for providing approvals expeditiously.
